Axis Incorporações adopts and enforces the governance guidelines of its controlling shareholder, Axis Gestão e Empreendimentos S.A. Conflicts of Interest

Participation in developments, partnerships and transactions with related companies calls for attention to conflicts of interest. Axis Incorporações follows its controlling shareholder’s guidelines to identify them early and document how they will be handled. Anyone with a personal interest in a matter declares it and takes no part in the decision; the recusal is recorded. Transactions with shareholders, affiliates and other related parties require market terms and separate approval.

When managing properties belonging to affiliates and strategic partners, the scope of work and decision-making limits are defined for each relationship. Sensitive information is accessed by the people who need it to carry out their responsibilities. Where required to address conflicts, teams, files and communication channels are separated under Axis’s information-barrier protocols.

Axis’s policies on integrity and anti-corruption, anti-money laundering, personal data protection and information security apply to Axis Incorporações. The company’s management is responsible for their observance in its activities, in coordination with the controlling shareholder.

As a company controlled by Axis Gestão e Empreendimentos S.A., Axis Incorporações has the support of professional business administrators and real estate brokers duly registered with the Rio de Janeiro Regional Council of Administration (Conselho Regional de Administração do Rio de Janeiro — CRA-RJ) and the Rio de Janeiro Regional Council of Real Estate Brokers (Conselho Regional de Corretores de Imóveis do Rio de Janeiro — CRECI-RJ), respectively. These professionals work with the company, its controlling shareholder and other affiliates within their professional qualifications, permitted scope of practice and the terms of each engagement.

Where real estate brokerage is required, the interested parties engage the duly registered professional or real estate brokerage firm directly.
